Company agrees that all information, documents, data, materials and the customer’s proprietary software systems disclosed to, or accessed by, or related to is “Confidential Information” under the terms of this Agreement

All Confidential Information disclosed by the customer to the Company shall be received in confidence by Company. Company agrees that it shall undertake all necessary and appropriate steps to ensure that the secrecy of the Confidential Information in its possession shall be maintained and that access to the Confidential Information shall be given by it only to those of its employees who have a need to know to engage.

Company shall not use any portion of the Confidential Information for any purpose except to respond to the customer.
